Gärde Wesslau and Cederquist advise in transaction

Gärde Wesslau has acted as legal adviser to Thorleif Josefsson Konsult AB in conjunction with the sale of TruckCam AB to Alignment Systems Holding AB (represented by Cederquist as legal adviser).

TruckCam AB is a Katrineholm-based company and a market leader for the supply of wheel alignment equipment for heavy vehicles. The equipment is based on new, patented digital camera technology. TruckCam AB exports its equipment to more than 30 countries. TruckCam AB’s wheel alignment equipment is to be found in, among others, plants belonging to Mercedes-Benz, Dongfeng Liuzhou, Hyundai, Scania, Volvo, and MAN.

Alignment Systems Holding AB is owned by Polaris Private Equity III and, through its subsidiary groups, Carl-O-Liner and Josam, manufactures equipment for the repair and inspection of damaged vehicles. Alignment System Holding AB’s acquisition includes all of the shares in TruckCam and its three subsidiaries. The parties to the transaction have decided not to disclose any detailed information regarding the transaction, which was signed on 19 June 2013.

Project managers for Gärde Wesslaus’ team of lawyers were Bob Lee (responsible partner) and John Vleugels Antonson (associate). Cederquist’s lawyers were Lars Bärnheim (responsible partner) and David Antonovic (associate). The vendor’s financial advisers were Censor AB with Ola Gravenfors as responsible partner and Erik Arvidsson (analyst). The purchaser’s advisers were PWC.
