Commercial Agreements

A well-negotiated and balanced contract is crucial to a long-term business relationship.

The contract should reflect the parties’ intention and support the profit expected from a transaction to be created.

There is no such thing as a risk-free transaction, so we help our clients to analyse and determine a risk level that is reasonably acceptable from a commercial and legal point of view. At the next stage, we assist with structuring and negotiation to make sure that the expected profit is generated and the risks are not excessive.

We assist our clients in all types of transactions, whether these are routine transactions in their ongoing business or one-off operations that are decisive to the client’s future. We frequently negotiate transactions such as the establishment of joint ventures, outsourcing of everything from entire business processes (so-called BPO) to critical business support activities (such as IS / IT and facility management). We also regularly assist our clients with drafting and concluding business-critical partnership agreements, supply agreements, and various types of retailer, agency, distribution and franchise agreements.

Our services include day-to-day consultancy and assistance with advanced legal analysis and advice, structuring of transactions, drafting and negotiation of transaction documents and project management of large commercial projects. We have extensive negotiating experience and a reputation as skilled negotiators. We always strive to gain an in-depth understanding of what is important to the client’s transaction and where we can make concessions – at a reasonable cost – to move it forward.

Our Commercial Agreement team is regularly top-ranked in the leding market publications Chambers Europe and  Legal500.
